TERMS OF SERVICE

We are Blum & Co., LLC (“Company,” “we,” “us,” “our”). We operate the mobile application OLD BOYZ CLUB (the “App”), as well as any other related products and services that refer or link to these Terms of Service (the “Terms”) (collectively, the Services”). By downloading, accessing, or using the App, you agree you have read, understood, and agreed to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately. These Terms apply to all users, members, and visitors of the App in any form.
Blum & Co., LLC reserves the right to update, modify, or replace these Terms at any time without prior notice and you waive any right to receive specific notice of each such change. Continued use of the App following any changes constitutes your awareness and acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
1. Eligibility and Membership
The OLD BOYZ CLUB App is intended for adult men aged 18 and older. By creating an account, you represent and warrant that you are at least 18 years of age; that you have the legal authority to enter into these Terms; and that you are not prohibited from using the App under the laws and regulations of the United States or of any other applicable jurisdiction.
To join, you will be required to verify your email address using a one-time passcode (OTP) sent to the email address you provide. Blum & Co. reserves the right to deny, suspend, or revoke any membership at its sole discretion, at any time, for any reason, with or without notice.
You agree to provide accurate, truthful, and complete information during registration and onboarding. Providing false, altered, or fraudulent information, or attempting to circumvent the email verification process, is grounds for immediate and permanent removal from the platform.
The App also offers biometric authentication, such as Face ID or fingerprint recognition, as a security feature for accessing your account. Use of biometric features is governed by your device's operating system and Apple's privacy policies.
You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
2. Code of Conduct
Membership in OLD BOYZ CLUB is a privilege, not a right. Members are expected to conduct themselves with integrity, respect, and maturity at all times — both within the App and at any Events associated with the OLD BOYZ CLUB brotherhood (the “Brotherhood”).
The following behaviors are strictly prohibited and may result in immediate suspension or permanent termination of your membership without refund:
- Harassment, bullying, hate speech, or any form of targeted aggression toward another member
- Unsolicited commercial solicitation, spam, or aggressive business pitching
- Impersonating another member, public figure, or any other individual
- Sharing, distributing, or reproducing any private content, conversations, or member information outside of the App
- Attempting to circumvent, hack, or manipulate any feature, security measure, or functionality of the App
- Planning or engaging in any illegal, fraudulent, or manipulative activity, or for the commission or facilitation of any illegal activity
- Any conduct that Blum & Co. determines, at its sole discretion, to be harmful to the Brotherhood or inconsistent with its values
Blum & Co. is not obligated to monitor all content or conduct on the platform but reserves the right to investigate and take action on any reported or observed violation of these Terms.
3. Membership Fees and Billing
Access to the OLD BOYZ CLUB App requires a paid membership subscription, currently offered at $9.99 per month or $59.99 per year (a savings of approximately 50% versus the monthly rate). Membership subscriptions do not include a free trial; your payment method will be charged upon purchase. Current pricing is displayed within the App and on the Apple App Store listing at the time of purchase. Blum & Co. reserves the right to change pricing at any time. Price changes will not affect existing subscribers until their current billing cycle ends, at which point the new pricing will apply unless the member cancels.
All membership fees are billed through Apple's In-App Purchase system via the Apple App Store. Billing and subscription management are governed by Apple's terms and policies. Blum & Co. does not process payments directly and does not issue refunds; refund requests must be submitted to Apple in accordance with Apple's refund policy.
Memberships automatically renew at the end of each billing period unless cancelled at least 24 hours prior to the renewal date. You may cancel your subscription at any time in your iPhone Settings (Settings > [your name] > Subscriptions). It is your responsibility to manage your subscription through your Apple ID account settings.
4. Intellectual Property Rights
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world. The Content and Marks are provided in or through our Services “AS IS” for your personal, non-commercial use only.
Your use of our Services
Subject to your compliance with these Terms, including the “Code of Conduct” section above, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use. Except as set out in this section or elsewhere in our Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. If you wish to make any use of the Services, Content, or Marks other than set out in this section or elsewhere in our Terms, please address your request to concierge@theblumandco.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Terms and your right to use our Services will be terminated.
Your contributions
The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphs, comments, suggestions, or personal information or other material. Such contributions may be viewable by other users of the Services. You retain ownership of any original content you post, share, or upload within the App. By posting content, you automatically grant Blum & Co., LLC a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content to other members within the App solely for the purpose of operating the platform. Such contributions you transmit may be treated as non-confidential and non-proprietary.
You represent and warrant that any content you post does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. You are solely responsible for the content you post.
Blum & Co. reserves the right to remove any content that violates these Terms or that it determines, at its sole discretion, to be harmful, inappropriate, or inconsistent with the values of the Brotherhood.
5. Third-Party Websites and Content
The Services may contain (or you may be sent via the App) links to other websites (“Third-Party Website”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating form third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms no longer govern. You agree and acknowledge you should hold us blameless from any harm caused by your purchase of any products or services on such Third-Party Websites. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
6. Privacy and Confidentiality
The OLD BOYZ CLUB App is intended to service a private Brotherhood. Members are expected to treat all information shared within the App — including posts, direct messages, and personal disclosures by other members — with discretion and confidentiality.
Sharing, screenshotting, recording, or reproducing any content or communication from within the App outside of the platform is strictly prohibited and constitutes a material breach of these Terms.

7. Privacy Policy
We care about your data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.
8. In-Person Events
OLD BOYZ CLUB may organize or facilitate in-person events, meetups, and gatherings for its members (each an “Event”). Attendance at any such Event is voluntary and at your own risk. Blum & Co. is not responsible for any injury, loss, damage, or harm that occurs in connection with your attendance at, travel to and from, or participation in any eEvent.
All Events are subject to their own rules and expectations consistent with the Code of Conduct outlined in these Terms. Conduct violations at Events may result in removal from the Event , restriction of access to the App, and termination of OLD BOYZ CLUB membership.
9. Termination
Blum & Co. reserves the right to suspend or terminate your account and access to the App at any time, for any reason, at its sole discretion, with or without notice. Reasons for termination include but are not limited to violations of these Terms, conduct unbecoming of a member, or actions deemed harmful to the Brotherhood or the company.
Upon termination, your right to access the App ceases immediately. No refund of any prepaid or unused subscription fees will be issued in the event of termination for cause. You may request a refund through Apple for terminations not related to conduct violations, subject to Apple's refund policy. Blum & Co. does not have the ability to issue refunds for App Store purchases.
You may cancel your membership at any time in your iPhone Settings (Settings > [your name] > Subscriptions). Cancellation takes effect at the end of the current billing period.
10. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.
11. Limitation of Liability
Blum & Co., LLC provides the App and its Brotherhood platform on an "as is" and "as available" basis. We make no warranties of any kind, express or implied, including as to any warranty regarding the reliability, availability, accuracy, or fitness for a particular purpose of the App or its content.
Without limitation to the foregoing, neither Blum & Co. nor anyone affiliated with it represents or warrants that any of the services and content made available by Blum & Co. (including through the App) will be accurate, reliable, error-free, or uninterrupted; that the services and content are free of viruses or other harmful components; or that the services and content will meet your needs or expectation. Your sole remedy for any dissatisfaction with the App, the Brotherhood, or any content provided thereby is to stop using the App and to terminate your Membership with OLD BOYZ CLUB. You acknowledge that, upon conclusion or termination of your Membership with OLD BOYZ CLUB, any and all content or other data input, submitted, or otherwise provided to or by you through the App may be deleted and destroyed and that copies of such information may not be available to share with you.
To the fullest extent permitted by applicable law, Blum & Co., LLC, its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the App, any interactions with any third party through or in connection with the App or the Brotherhood (including as to any other Member), any Event, or any content posted within the platform.
In no event shall our total liability to you for any claims arising from your use of the App, any interactions with any third party through or in connection with the App or the Brotherhood (including as to any other Member), any Event, or any content posted within the platform exceed the lesser of either (i) the total amount of membership fees actually paid by you to Blum & Co. and/or OLD BOYZ CLUB in the twelve months preceding the claim or (ii) US$100.00.
12. Indemnification
You agree to indemnify, defend, and hold harmless Blum & Co., LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the App, any interactions with any third party through or in connection with the App or the Brotherhood, any Event, any content posted within the platform, your violation of these Terms, your violation of any intellectual property or other rights of any person or entity, or any content you post within the platform.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Indiana.
14. User Data
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
15. Electronic Communications, Transactions, and Signatures
Visting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDER, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VISA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
16. California Users and Residents
